I am replacing a Nutone ceiling fan in my bathroom. The models are the same so the electical hook up is not a problem. The problem I have is getting room to attach the fan to the stud. I have a sheetrock ceiling. Should I cut our a section of sheetrock to give me access to drill/hammer and then replace? Thanks.

If the models are the same, then you should be able to drop the cover, remove the fan from the housing and unplug it from the housing electric plug clip and plug the new fan in, mount it in the old fan support bracket and use the new cover. While it is all aprt I would vacuum it out as well to clear all the dust build up. You should not have to do any tear down or patch work to the ceiling if they are the same model as you claim.
