I have some soft spots around my toliet. I know that there is some rotting under there. Should I just to a overlay or go ahead and gut the floor and put in all new. The contractor's price is only 150.00 more for the gutting vs overlay. He did explain that he can't make that firm until he sees how bad it is. What is best for me. The house is 54 years old.It is in a great area and is worth alot more than we gave. We plan to be here at least 5 more years.

Don't do an overlay. You're just delaying your problem.
Fix it right. Cut out all rotted flooring around the toilet and replace it (I always use pressure-treated plywood and joist sisters (if necessary to repair them, too).
No one can tell what you're dealing with until you remove the toilet and uncover the problem.
