I have a an old rotted deck. The foundation is good. Someone suggested to me that I could put a patio right over the old decking & replace the wood handrails with Trex handrails. Does this sound feasible to anyone?

If it's really an "old rotted deck", why on earth would you want to leave it there and go over the top of it with something else? It's not going to quit rotting.

That sounds like the suggestion of someone that is trying to avoid a little work.

If the floor framing is still fine and if the posts are still fine, that is one thing. But at a minimum, it sounds like the floor boards, handrail, and any stair treads ought to be removed and replaced.
