I have read that when painting a flat paint over a semigloss you need to sand down the old semi gloss layer a little. Does the same apply in reverse? (Don't seem to me it should but what the hell do I know :rolleyes: )

It can't hurt, I always do. Sanding also breaks the surface on any grease, or smudge of whatnot that might be on the surface but invisible to the naked eye.

sanding is unnecessary on flat paint. If something is present that cause poor adhesion (smoke, grease, heavy cigarette smoke) then TSP (tri-sodiumphosphate) will wash away the contaminate. In the case of smoke damage a stain killing primer is used. Fantastic or orange cleaner will fix any small spots of grease etc.
