I have some not so well installed panel in my basement , how simple is it just to dry wall over it or would it make more since to remove it . There is concrete behind it and the current panel has gaps .

I'd be inclined to remove the paneling and do the framing correctly. If you live in a climate with cold winters, then framing with 2x4s and insulating would be worthwhile.

Anything worth cutting down a tree for is worth doing right. Don't the Lord love a 2x4!
Do it right as Bob suggests. This is one corner that you'd have haunt you if you decided to cut it.
