I just removed old panelling. The drywall behind it still has a great deal of black adhesive or whatever. Do I need to replace the drywall or just panel over it.

As long as the drywall is still rigid and not powdery it can be left in place. As far as the leftover adhesive, knock down the high spots and put the new paneling over it.
